Can someone with legal knowledge/experience help me with my Employment Contract?

I live in California and have recently been offered full-time employement here. I have verbally accepted the position, but have some concerns about the employment contract as it is fairly inconsistent with what I’ve seen in this state before. I’ve included the “problematic” sections below, along with my concerns. Any advice would be greatly apprciated.

1) To submit a 120-day (two full issue’s production cycle) written notice in the event of termination of duties.
(The employer is a small magazine publisher, so I understand production issues, however, four months seems an excessive time to expect an employee to stay on after resigning)

2) Vacation time will be accrued after the 90-day probation period at the rate of 6.66 hours per month. All vacation times cannot be transferred to any other year and will not be used as additional salary.
(I’m used to a 90 day probation period, but in every job I’ve held previously, accrual always started on Day 1. And, no transfers?)

This would allow you to get a baseline answer while capping the upper end costs.
